These Terms of Service ("Terms") govern your access to and use of the website vectorbase.life and the vector intelligence services provided by VectorBase Pte Ltd ("VectorBase", "we", "us", or "our"). By accessing our website or using our services, you agree to be bound by these Terms.
1. Definitions
- "Platform" means the VectorBase VEC-* product suite, APIs, dashboards, and related infrastructure.
- "Client" or "you" means the individual or entity accessing or using our services.
- "Content" means data, documents, and materials uploaded to or processed through the Platform.
- "Output" means responses, embeddings, and results generated by the Platform.
2. Acceptance of Terms
By creating an account, submitting a contact form, or otherwise using our services, you confirm that you are at least 18 years of age, have the authority to bind your organisation (if applicable), and agree to these Terms and our Privacy Policy.
3. Services Description
VectorBase provides enterprise vector database management, retrieval-augmented generation (RAG) pipelines, semantic search, embedding services, and related AI knowledge infrastructure. Specific service levels, features, and pricing are defined in individual service agreements or order forms.
4. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised access at [email protected]. We reserve the right to suspend accounts that violate these Terms.
5. Client Content and Data Ownership
You retain all ownership rights to Content you upload to the Platform. By uploading Content, you grant VectorBase a limited, non-exclusive licence to process, store, and index your Content solely for the purpose of providing the contracted services. We do not use your Content to train general-purpose models without explicit written consent.
6. Acceptable Use Policy
You agree not to use the Platform to:
- Upload unlawful, defamatory, or infringing content
- Process personal data without appropriate consent under the PDPA or applicable laws
- Attempt to reverse-engineer, decompile, or extract source code from the Platform
- Interfere with or disrupt the integrity or performance of the Platform
- Generate content intended to deceive, harass, or cause harm
- Exceed rate limits or usage quotas defined in your service agreement
7. Service Level and Availability
Enterprise clients are subject to SLA terms defined in their service agreement. Standard uptime target is 99.9% monthly availability, excluding scheduled maintenance (communicated 48 hours in advance) and force majeure events.
8. Fees and Payment
Fees for services are as specified in your order form or pricing schedule. Unless otherwise agreed, invoices are payable within 30 days. Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts exceeding 60 days.
9. Intellectual Property
VectorBase retains all rights to the Platform, VEC-* products, software, documentation, and branding. Nothing in these Terms transfers ownership of our intellectual property to you. Feedback you provide may be used by us to improve services without obligation or compensation.
10. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. This obligation survives termination for a period of three (3) years.
11. Warranties and Disclaimers
The Platform is provided "as is" and "as available" to the extent permitted by law. We warrant that services will be performed with reasonable skill and care. We do not warrant that AI-generated Output will be error-free, complete, or suitable for any particular purpose. You are responsible for reviewing Output before relying on it for critical decisions.
12. Limitation of Liability
To the maximum extent permitted by Singapore law, VectorBase's total aggregate liability arising from or related to these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
13. Indemnification
You agree to indemnify and hold harmless VectorBase, its directors, officers, and employees from any claims, damages, or expenses arising from your Content, your use of the Platform in violation of these Terms, or your violation of applicable laws.
14. Term and Termination
These Terms remain in effect while you use our services. Either party may terminate a service agreement with 30 days' written notice. We may terminate immediately for material breach. Upon termination, you may export your Content within 30 days, after which we will delete it in accordance with our data retention policy.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the Singapore International Arbitration Centre (SIAC) for binding arbitration.
16. Modifications
We may modify these Terms by posting updated terms on this page. Material changes will be communicated via email to registered account holders at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
